Important Legal Agreement
Please read these Terms of Service carefully before using Amani. By accessing or using our services, you agree to be bound by these terms. Pay special attention to Sections 4, 5, and 7 regarding payment terms and liability.

1. Introduction and Acceptance
Welcome to Amani. By accessing our website, API, or using our secure transaction services (collectively, the "Services"), you agree to be legally bound by these Terms of Service ("Terms") and our Privacy Policy. If you do not agree, do not use Amani. These Terms constitute a binding legal agreement between you ("User," "Buyer," or "Seller") and Alpha Sight Ltd. ("Amani," "we," "us").
2. The Amani Service (Trust-as-a-Service)
Amani is a neutral third-party platform that provides automated secure transaction and verification services for digital freelance transactions.
We are NOT a Bank
Amani is a technology layer. We do not hold your funds directly for extended periods. All funds are processed and held by regulated third-party financial partners.
We are NOT a Marketplace
We do not introduce Buyers to Sellers. We only secure the transaction after you have found each other.
3. Eligibility and Account Security
- Age Restriction: You must be at least 18 years old to use Amani.
- KYC/KYB: You agree to provide accurate information for Know Your Customer (KYC) or Know Your Business (KYB) checks as required by our banking partners. Failure to pass these checks will result in account suspension.
- Security: You are responsible for maintaining the security of your account credentials.
4. Payment Terms & The "Secure Transaction Lock"
4.1. Funding a Milestone (Buyers)
Buyers must deposit 100% of the agreed milestone amount plus the applicable Service Fee (currently 5%).
Settled Funds Only
A milestone is only considered "FUNDED" when funds have actually settled into our partner's accounts. Amani is not responsible for work started by Sellers before the "FUNDED" status is confirmed on the platform.
4.2. Releasing Funds (Sellers)
Funds are released to the Seller only when:
- (a) The Buyer manually approves the work via the platform; OR
- (b) An Amani Dispute Resolution process rules in favor of the Seller.
4.3. Payouts
Payouts are made to the Seller's designated bank account (e.g., via NGN local transfer). While we initiate payouts immediately upon approval, actual receipt of funds depends on the Seller's receiving bank.
5. CRITICAL: Third-Party Reliance & Delays (Liability Disclaimer)
You acknowledge and agree that Amani uses third-party regulated financial infrastructure providers (including but not limited to Fincra Technologies Ltd, regulated banks, and payment processors) to facilitate the movement and holding of funds.
5.1. No Liability for Third-Party Failures
To the maximum extent permitted by law, Amani shall NOT be liable for:
- Delays: Any delay in deposits, secure transaction releases, or payouts caused by these third-party partners, banking networks (e.g., SWIFT, NIBSS), or regulatory holds.
- Downtime: Service interruptions, technical failures, or system downtime of our banking partners.
- Frozen Funds: Funds frozen or held by a regulatory body, central bank, or our financial partners due to their own compliance reviews.
Example:
If our banking partner delays your payout for 48 hours (or longer) due to their own technical issues, Amani is not liable for any resulting damages to you, including but not limited to overdraft fees, missed rent payments, or loss of business.
6. User Obligations & Prohibited Activities
You agree NOT to use Amani for:
- Illegal goods/services, money laundering, or restricted items (e.g., weapons, adult content).
- Transactions involving sanctioned countries or individuals.
- Creating fake disputes or uploading malicious files (viruses) as deliverables.
- Circumvention: Attempting to use Amani solely to identify counter-parties and then moving off-platform to avoid future fees.
7. Fees, Chargebacks, and Reversals
7.1. Fees
Amani currently charges a 5% Service Fee to the Buyer on top of the project value. This fee is non-refundable once the secure transaction is funded, even if the project is later cancelled by mutual agreement.
7.2. Chargebacks & Reversals (The "Clawback" Clause)
While Amani prioritizes safe payment methods (like Bank Transfers), if a transaction is reversed by the sender's bank or a card network (a "Chargeback") after funds have been released to Seller:
- You (the User who initiated the fraudulent/reversed payment) are immediately liable to Amani for the full amount plus any penalty fees charged by our partners.
- Amani reserves the right to set off this liability against any funds currently in your Amani wallet or any future funds you receive.
8. Disputes between Users
Amani is not a party to the actual freelance contract. In the event of a dispute:
- Users must first attempt to resolve it mutually via the Disputes Center.
- If unresolved, Amani may (but is not obliged to) offer binding arbitration. Our decision in such arbitration is final.
- Amani's liability in any dispute is strictly limited to the amount held in secure transaction for that specific transaction.
9. Disclaimer of Warranties
THE SERVICES ARE PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT ANY WARRANTIES OF ANY KIND. AMANI DOES NOT GUARANTEE THAT THE SERVICE WILL BE UNINTERRUPTED, SECURE, OR ERROR-FREE. WE DO NOT GUARANTEE THE IDENTITY OF ANY USER OR THE QUALITY OF THEIR WORK.
10. Limitation of Liability
- Amani (Alpha Sight Ltd) shall not be liable for any indirect, incidental, special, consequential or punitive damages, or any loss of profits or revenues, whether incurred directly or indirectly, or any loss of data, use, goodwill, or other intangible losses, resulting from::
- In no event shall Amani's aggregate liability for all claims relating to the Services exceed the greater of one hundred US dollars ($100.00) or the amounts paid by you to Amani in fees for the past six months.
11. Governing Law
These Terms shall be governed by the laws of the Federal Republic of Nigeria.
